Job Description

CORPORATE SECRETARIAL

  • Statutory Meetings: Drafting of Notice, Agenda & Minutes of AGM, EGM(s), Board Meetings, Audit Committee Meetings and other Committee Meetings, convening these Meetings and communication of key outcome of these meetings to various concerned.
  • Directors & their remuneration: Appointment/reappointment of Managing Director(s), Whole-time Director(s) and other Directors of the Company, matters relating to their remuneration.
  • Statutory Registers & Forms: Maintenance of Statutory Records under Companies Act, 1956 & 2013 and other Rules notified there under, along with preparation and filing of various forms & returns with ROC, RBI and other Government bodies.
  • New Companies Act, 2013 and MCA-21: Conversant with the latest developments in New Companies Act, 2013 and MCA-21 e-filing and updated formats of ROC filing forms, approvals of Central Government.
  • Active liaison with ROC, MCA, RBI, Company’s Bankers, Auditors, Credit Rating Agency & DGFT.
  • Charges on Properties: Vetting & execution of loan documents, Registration of charges; modification, satisfaction & inspection of documents at the ROC etc.
  • Incorporation: Compliance for conversion of Partnership Firm into Private Limited Company and incorporation of Companies in India.
  • Legal Compliance Reports: Advising on various compliance issues and developing Legal Compliance Reports and installing System of Compliance reporting to the Board of Directors.
  • Corporate Secretarial compliances for all Group Companies

LEGAL

  • Drafting & Vetting of various legal agreements and other documents
  • Close association with Legal Counsel of the Company and Liaison with Advocates and other consultants/ professionals

RESERVE BANK OF INDIA (RBI) MATTERS

  • NBFC Compliances: 
  • Ensuring the compliances of Systematically Important Non-Deposit taking NBFC & other ND-NBFCs by complying with the related Prudential Norms, Guidelines & other circulars issued by RBI.
  • Preparation of Notice, Agenda & Minutes of various Committees of the Board as required to be constituted as per RBI Norms like Audit Committee, Asset Liability Management Committee,  Investment Committee, Loan Committee, Nomination & Remuneration Committee etc
  • Implementation & compliance of various policies framed as per RBI Norms like, Investment Policy, ALCO Policy, Fair Practices Code, Credit Policy etc.
  • Ensuring the filing of various statutory returns, forms & documents, as required to be filed with RBI on periodical basis;
  • Active liaison with RBI, including but not limited to attending the Annual Structured Meeting with RBI Officials & handling the annual inspection/ investigation by RBI.
  • Compliances of FDIs in India, submission of returns & other documents on periodical basis.
